In a circular dated November 2, Guinness Ghana said its board approved the appointment at a meeting held on October 28, following a recommendation from the Nomination and Remunerations Committee.
The company assured shareholders that the transition would preserve continuity in its governance and compliance responsibilities.
The change ensures continuity in the Company’s corporate governance and statutory compliance functions and does not affect its operations or the rights of shareholders,” it stated.
A Career Spanning Law, Governance and Communications
Adu-Gyamfi brings more than 13 years of experience spanning legal advisory, corporate governance, regulatory affairs and compliance across multinational organisations.
Before returning to Guinness Ghana, she served as General Counsel and Company Secretary of Fan Milk Plc, part of the Danone Group. In that position, she advised the board and executive leadership team while providing legal, governance and risk oversight across Ghana, Côte d’Ivoire, Togo and Benin.
Her responsibilities also included oversight of corporate communications in Ghana. According to the circular, she played a leading role in Fan Milk’s B Corp certification journey — a credential awarded to companies meeting verified standards of social and environmental performance, accountability and transparency.
The combination of legal, governance and communications experience is directly relevant to her dual position at Guinness Ghana, where she will serve as both Corporate Relations Director and Company Secretary. That pairing reflects a growing trend among listed companies in Ghana, where the company secretarial function is increasingly bundled with stakeholder engagement and reputation management.
A Return to Familiar Ground
Her previous employment with the brewer gives her familiarity with its business. She served as Assistant Legal Counsel from 2017 to 2022, a period the company said provided valuable knowledge of its operations and working environment.
“Ms. Sandra Adu-Gyamfi returns to Guinness Ghana Breweries PLC as Corporate Relations Director & Company Secretary, bringing over 13 years of experience in legal advisory, corporate governance, regulatory affairs and compliance across multinational organisations,” the notice stated.
Academic and Professional Credentials
Adu-Gyamfi is a Barrister and Solicitor of the Supreme Court of Ghana. She holds a Master of Laws degree in International Corporate and Commercial Law from King’s College London.
Her academic background also includes studies in French and Philosophy and Law at the University of Ghana and the Université de Caen in France — a combination that supports her regional responsibilities across Francophone West Africa.
Why the Resignation?
The circular did not state the reason for Koranteng’s resignation.
Under the Companies Act, 2019 (Act 992) and Ghana Stock Exchange disclosure requirements, listed companies must notify shareholders of changes to key officers, but the law does not compel the disclosure of the circumstances behind a resignation unless they are material to the company’s financial position or operations.
The same-day effective dates establish an immediate succession in the office of Company Secretary, with the company explicitly confirming that the change leaves its operations and shareholder rights unaffected.
The Board’s Position
The board expressed appreciation to Koranteng for his service and welcomed Adu-Gyamfi to the position.
